Green Springs Proposal

There are many options in producing the proposed series and all are negotiable. I am open to hearing the concerns presented by any and all serious investors, distributors, and producers.

I have listed below concerns I think of when reviewing any interest shown toward my Green Springs characters so that you will have a better idea of what my thoughts are and plan, negotiate and decide accordingly.

Co-Production:

Co-production is an area that needs to be defined and is too lengthy to be presented here. It involves setting studio duties, deadlines and quality control guidelines as well as investment issues. E-mail me.

Film Licensing:

Film licensing for Series film will require my involvement for the first Series and Feature to set animation standards for further productions. Further series would have quality control standards applied. Short films or commercials will also have quality controls insuring character form, animation and voice quality standards. E-mail me. Since short films and commercials would most likely occur after the Series, these standards will have already been set.

`Proposed' Terms of a Conditional Sale of Green Springs:

1.) A ``No shelving" clause. An investment in `development and production' expenditure in actual animation must be made every 2 years after the release of the first series and feature, equaling an amount of $10,000,000.oo or more to keep the characters viable and visible in the market.

The proposed 27 episode series and feature film will be produced within the first four years from the date the agreement is signed by both parties; starting with the 27 episode series which must be completed and distributed within the first two. Will require my involvement as oversite producer with full control over all areas of production and director for the first Series and Feature to set animation standards for further productions. Further series would have quality control standards applied.

2.) A ongoing 2 % royalty of total gross `development and production' expenditures of any and all animation weather in-house or contracted. paid to Richard Taylor, his heirs or assigns. This to be considered part of any production expense. `Gross' meaning and hereafter defined as total before any expenses or costs are removed.

3.) A ongoing 2% royalty of gross sales of all merchandise sales and 2% of all License agreements paid to Richard Taylor, his heirs or assigns forever.

4.) G rating clause based on the 1957 television standards.

5.) Reserved geographical areas. The purpose is so that I can continue to develop the characters and sell items within these areas involving these characters and items and unrestricted developments of all kinds. 5 counties - Jackson, Josephine, Klamath, Curry and Coos in Oregon.

6.) My involvement by directing 1st Series and first Feature to set standards of all parts of animation including voices.

7.) Reserve print rights on books, print and publications.

8.) Set Content Guide for future works and images to maintain G content and images created.

9.) Grouping clause. No grouping or promoting of other products or film other than G rated.

10.) A negotiated set initial purchase price for the characters and concept.

11.) This agreement to be permanently attached to all the Green Springs Characters now created or developed in the future. New Green Springs characters must be developed by Richard Taylor. The characters or the directions of this agreement cannot be transferred or sold without this agreement in attached and carried out in full. Agreement transferable to heirs and assigns.
